Schedule G to Master Services Agreement

SMS SERVICES, FEES AND 10DLC COMPLIANCE (10-DIGIT LONG CODE)

 

  1. SCOPE OF SERVICES
    S-NET agrees to supply SMS messaging services, including but not limited to A2P (Application-to-Person) messaging via 10-digit long code (10DLC). In order to access SMS services a customer must have a compatible license through S-Net. S-NET, as a participating reseller, strives to provide the highest level of service while working to eliminate phishing, spam and fraudulent messaging. As part of S-Net’s services we will provide 10DLC Registration services for our Customers. S-NET will comply with applicable laws and regulations, including, but not limited to, the 10DLC requirements set forth by the Federal Communications Commission (FCC), Cellular Telecommunications Industry Association (CTIA), and all carrier-specific requirements.
  2. 10DLC REGISTRATION AND COMPLIANCE
    Customer acknowledges the responsibility to register for 10DLC with the relevant mobile network operators and comply with all necessary registration and compliance requirements, including providing accurate information for vetting by carriers. S-Net will assist in facilitating the registration process as required, but the Customer is solely responsible for ensuring that all messages sent via 10DLC comply with applicable laws, carrier policies, and industry standards.

    2. 10DLC Registration is mandatory for every 10DLC and/or toll-free number that a customer holds with S-NET for the purpose of SMS/MMS text messaging. Customers must submit to S-NET all required information and assist, as S-NET requests, for the successful completion of any required 10DLC registrations.
    3. Customers will be liable for all costs related to 10DLC Registration, including all surcharges, as detailed below under fees.
  3. FEES AND PAYMENT TERMS
    Customer agrees to pay all fees associated with SMS messaging services, including fees for message delivery, 10DLC registration, and monthly campaign fees. Fees will include any fines or penalties for non-compliance. All fees will be detailed on the customer’s monthly invoice and are subject to change based on carrier pricing adjustments, with at least 30 days’ notice provided to the Customer.

  1. RESPONSIBILITY FOR COMPLIANCE AND INDEMNIFICATION
    Customer is responsible for ensuring that all SMS messages, including those sent via 10DLC, comply with all applicable laws, regulations, and industry standards, including, but not limited to, the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and CTIA Messaging Principles and Best Practices. S-NET shall not be liable for any penalties, fines, or legal claims arising from the Customer’s non-compliance. Customer agrees to indemnify, defend, and hold S-NET harmless from any claims, damages, or liabilities arising out of non-compliant messaging.
  2. MESSAGING POLICIES AND USAGE RESTRICTIONS
    Customer agrees to comply with all Acceptable Use Policies (AUP) related to SMS messaging and 10DLC, including, but not limited to, limitations on message frequency, content restrictions, and opt-in/opt-out management. S-NET reserves the right to suspend or terminate service in the event of any violation of the AUP or applicable law.
  3. TERMINATION AND SUSPENSION
    S-NET reserves the right to terminate or suspend SMS messaging services, including access to 10DLC, in the event of Customer’s failure to comply with payment obligations, regulatory requirements, or if any illegal or harmful activities are identified in connection with Customer’s use of the services. In the event any of these occurrences comes to S-Net’s attention the services will immediately be suspended or terminated. S-Net will notify the Customer of the reason for suspension or termination as soon as practical.All Campaigns are subject to a monthly recurring charge as stated in Section 3 above. However, a campaign is billable for a 3-month term which auto renews. In the event services are Terminated or Suspended under this Section 6, Customer is responsible for payment of the monthly charge for the remainder of the campaigns current 3-month term.
  4. DATA PRIVACY AND SECURITY
    S-NET agrees to take commercially reasonable measures to protect the security and confidentiality of data transmitted through the SMS service. However, Customer is responsible for ensuring that all customer data used in SMS communications is collected with all required notices and consents under Applicable Privacy Laws, as defined in Schedule D, which is incorporated herein.Additional policies, regulations, and laws may exist beyond those listed and referenced above.
